Website and Programme Terms of Service

AAS Executive Education is a flagship leadership initiative of the African Academy of Sciences (AAS), designed for senior and mid-level leaders shaping Africa’s future through science, technology, innovation, policy, enterprise, and research leadership. References to “AAS”, “we”, “us” and “our” include AAS, its authorised representatives, faculty, fellows, affiliates, partners, contractors and agents where the context allows. The Service is operated from Nairobi, Kenya. Users accessing it from outside Kenya are responsible for complying with applicable local laws.

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Service or enrol in a Programme on behalf of an organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation. You agree to comply with all applicable laws, regulations, sanctions, export controls, institutional policies and these Terms. AAS may update these Terms from time to time. Material changes will be posted on the website or communicated by email where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

AAS Executive Education Programmes may include live online sessions, faculty-led discussions, peer learning groups, applied African case studies, assignments, assessments, capstone projects, digital learning resources, and an in-person immersion at the AAS campus or another designated venue. Programme details, dates, faculty, format, materials, assessment requirements and delivery platforms may change where operational, academic, security, health, travel or other circumstances require. If an in-person component cannot proceed, AAS may reschedule it, provide a virtual alternative, adjust the format, or issue an appropriate pro-rata refund where applicable.

Unless expressly stated in your admission letter or invoice, you are responsible for your own travel, accommodation, visas, insurance, devices, internet access, meals outside the stated programme package, and other personal costs. Admission does not guarantee certification. Certificates may be withheld where fees remain unpaid, attendance requirements are not met, assignments are incomplete, or conduct standards are breached.

Fees are stated in the admission letter, invoice or applicable programme page and may be quoted in US dollars, Kenyan shillings, or another stated currency. Unless stated otherwise, fees exclude bank charges, currency conversion costs, taxes, travel and accommodation. The fee in an admission letter is valid for 30 days unless otherwise stated. Full payment is due by the invoice deadline. Employer-sponsored participants must provide a valid purchase order, sponsorship letter or other payment commitment acceptable to AAS by that deadline.

Participant cancellations must be made in writing. Refunds are calculated from the Programme start date as follows: 45 or more days before the start date: full refund less a 10% administrative fee; 30-44 days: 75% refund; 15-29 days: 50% refund; fewer than 15 days: no refund. Substitutions may be accepted at AAS’s discretion if the substitute meets the admission criteria. If AAS cancels a Programme, AAS will refund tuition paid for the cancelled Programme or offer transfer to a future cohort. AAS is not responsible for travel, accommodation, visa, insurance or other third-party costs. No refund is due where a participant is dismissed for misconduct, fraud, non-payment, or serious breach of these Terms.

Participants must contribute to a respectful, professional and inclusive learning environment. You agree to treat faculty, staff, guests and fellow participants with dignity; protect confidential and proprietary information shared by AAS or other participants; and use AAS systems only for lawful educational purposes. You must not:

All Programme content, including curriculum design, slide decks, videos, recordings, case studies, tools, readings, templates, assessments, brand assets and platform content, belongs to AAS or its licensors and is protected by intellectual property law. AAS grants participants a limited, personal, non-transferable, non-commercial licence to use Programme materials for learning purposes only.

You retain ownership of your capstone project, assignments and original submissions. By submitting them, you grant AAS a non-exclusive, royalty-free licence to use, reproduce and adapt them for internal administration, quality improvement, research, evaluation, accreditation, reporting and anonymised teaching examples. AAS will not intentionally disclose your confidential proprietary information without your consent, except where required by law, donor or accreditation obligations, or legitimate programme administration. Ideas and general knowledge shared in cohort discussions may be used by participants, but confidential data, trade secrets, unpublished research, personal information and organisational information shared in confidence must be protected.

AAS processes personal data in accordance with its Privacy Policy and applicable data protection laws, including Kenya’s Data Protection Act where applicable. Personal data may be used to manage applications, admissions, payments, learning platforms, communications, attendance, certification, alumni engagement, safeguarding, security, evaluation, reporting and legal compliance. AAS may use reputable third-party platforms for learning delivery, conferencing, payment, analytics, email and administration, subject to appropriate safeguards. By using the Service, you acknowledge the Privacy Policy, which forms part of these Terms. You may opt out of non-essential marketing communications, but AAS may still send administrative, safety, billing and Programme-related notices.

The Service may include faculty views, participant contributions, discussion forums, third-party resources, links and external platforms. Unless expressly stated, such content is provided for learning and information only and does not represent official AAS advice, endorsement, legal, financial, medical, investment, employment or professional guidance. AAS does not guarantee the accuracy, availability, security or suitability of third-party websites, platforms or participant-generated content. You access third-party resources at your own risk.

To the fullest extent permitted by law, AAS is not liable for career outcomes, promotions, investment returns, business results, funding decisions, policy outcomes, loss of data, internet interruptions, platform outages, participant conduct, visa denial, illness, injury, travel disruption, accommodation issues, or third-party service failures. You are responsible for your own professional decisions, travel arrangements, insurance, safety, health requirements, devices and connectivity. Where AAS fails to deliver a paid Programme and does not provide a reasonable alternative, AAS’s total liability is limited to the tuition actually paid for that Programme. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by gross negligence where such exclusion is not permitted by law.

AAS is not in breach of these Terms where delay or non-performance results from events beyond its reasonable control, including public health emergencies, natural disasters, security incidents, war, civil unrest, terrorism, government restrictions, travel bans, border closures, labour disruption, power failure, internet failure, platform outage, or actions by partners, venues or suppliers. Where such an event materially affects delivery, AAS will take reasonable steps to notify participants and may reschedule, modify delivery, provide an alternative format, or issue a pro-rata refund for the affected component.

These Terms are governed by the laws of the Republic of Kenya. Parties will first seek to resolve disputes informally by contacting exec-ed@aasciences.africa. If not resolved within 30 days, either party may refer the dispute to arbitration at the Nairobi Centre for International Arbitration under its applicable rules. The seat of arbitration is Nairobi, Kenya, and the language is English. Either party may seek urgent interim or injunctive relief from Kenyan courts, including to prevent unauthorised use or disclosure of confidential information or intellectual property.
